Overview

These Terms of Service ("Terms") govern your access to and use of the Naauai platform — including the content library, guided learning paths, AI Executive Advisor, Notebooks, and all associated tools and services ("the Platform") — operated by Naauai Inc., a Delaware corporation ("Naauai", "we", "us", "our").

By creating an account or accessing the Platform, you agree to these Terms. If you are accessing the Platform on behalf of an organization, you confirm that you have authority to bind that organization and that "you" refers to both you and that organization.

If you do not agree to these Terms, do not use the Platform.


1. Eligibility

You may use the Platform if you are:

  • At least 18 years of age
  • Capable of entering into a legally binding agreement
  • Not prohibited from receiving services under applicable law

If you are accessing the Platform under an enterprise licence, your eligibility is also subject to the terms of your organisation's agreement with Naauai.


2. Accounts

2.1 Registration

To access the Platform, you must create an account using accurate, complete, and current information. You are responsible for maintaining the accuracy of your account information and for updating it when it changes.

2.2 Account security

You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. You must notify us immediately at support@naauai.com if you become aware of any unauthorised access to your account.

Naauai will not be liable for losses arising from unauthorised use of your account where you have failed to maintain the security of your credentials.

2.3 One account per person

Each account is personal to the individual registered user. You may not share login credentials with other individuals unless permitted under an enterprise or team licence agreement. Enterprise accounts are subject to the seat limits and sharing permissions defined in your organisation's licence.


3. Subscriptions and Payment

3.1 Plans and pricing

Naauai offers subscription plans as described on our pricing page. Pricing, features, and plan availability may change. We will provide reasonable notice of material changes to pricing before they affect your existing subscription.

3.2 Free trial

Where a free trial is offered, you will have access to specified Platform features for the stated trial period at no charge. At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel before the trial expires. You may cancel at any time during the trial with no charge.

3.3 Billing and renewal

Subscriptions are billed in advance on a recurring basis (quarterly or annually, depending on your chosen plan). Your subscription will automatically renew at the end of each billing period unless cancelled before the renewal date.

Payment is processed by Stripe. By providing payment details, you authorise Naauai to charge your payment method on the applicable billing cycle.

3.4 Failed payments

If a payment fails, we will notify you and attempt to process the payment again. Access to the Platform may be suspended after reasonable notice if payment cannot be collected.

3.5 Refunds

Subscription fees are non-refundable except:

  • Where required by applicable law
  • Where Naauai is materially unable to provide the service for which payment was made
  • Within 14 days of initial purchase, if you have not made substantial use of the Platform (at our reasonable discretion)

3.6 Taxes

Prices are displayed exclusive of applicable taxes unless stated otherwise. You are responsible for any sales tax, VAT, or similar taxes applicable to your subscription in your jurisdiction.


4. Acceptable Use

4.1 Permitted use

The Platform is licensed to you for your personal or internal business use — for learning, research, professional development, and informing AI strategy decisions within your organisation.

4.2 Prohibited conduct

You agree not to:

  • Share your account credentials or allow others to access the Platform using your account
  • Reproduce, redistribute, resell, sublicense, or commercially exploit Platform content without our prior written consent
  • Scrape, extract, or systematically download content from the Platform by automated means
  • Use the Platform to develop a competing product or service
  • Submit false, misleading, or fraudulent information to the Platform or the AI Executive Advisor
  • Use the Platform in any way that violates applicable laws or regulations
  • Attempt to circumvent any security, access control, or technical measure on the Platform
  • Introduce malicious code, malware, or other harmful software
  • Use the AI Executive Advisor to generate content that is deceptive, harmful, or in violation of applicable law
  • Harass, abuse, or harm other users or Naauai personnel

4.3 Content standards

Content you create within the Platform (Notebook entries, annotations, comments) must not:

  • Infringe the intellectual property rights of any third party
  • Be defamatory, obscene, or unlawful
  • Contain personal data of third parties without a lawful basis
  • Violate the privacy or confidentiality of any individual or organisation

We reserve the right to remove content that violates these standards and to suspend or terminate accounts responsible for repeated violations.


5. Platform Content and Intellectual Property

5.1 Naauai content

All content available on the Platform — including but not limited to articles, briefings, case studies, frameworks, learning paths, research summaries, AI Advisor outputs, Agent Traces, Blueprints, and templates — is owned by or licensed to Naauai and protected by applicable intellectual property laws.

Your subscription grants you a personal, non-exclusive, non-transferable, revocable licence to access and use Platform content for your own internal purposes during your subscription period. This licence does not include the right to reproduce, distribute, or create derivative works from Platform content for external publication or commercial use.

5.2 Your content

You retain ownership of original content you create in Notebooks and other personal workspaces. By creating content on the Platform, you grant Naauai a limited licence to store, display, and process that content solely to provide the service to you.

We do not claim ownership of your Notebook content. We do not use your personal Notebook content to train AI models or share it with other users.

5.3 Feedback

If you provide feedback, suggestions, or ideas regarding the Platform, you grant Naauai the right to use that feedback without restriction or compensation. You waive any moral rights in such feedback to the fullest extent permitted by law.

5.4 Third-party content

The Platform may include links to or summaries of third-party content. We do not endorse third-party sources and are not responsible for the accuracy, legality, or availability of external content.


6. The AI Executive Advisor

6.1 Nature of the service

The AI Executive Advisor is an AI-powered tool designed to support your learning and decision-making by drawing on Naauai's curated knowledge base. It is not a substitute for professional legal, financial, strategic, or technical advice.

6.2 Limitations

AI-generated outputs may contain errors, omissions, or content that is outdated or contextually inappropriate. You should apply professional judgement before acting on any AI Advisor response, particularly in connection with significant business, legal, or financial decisions.

Naauai makes no warranty that AI Advisor responses are accurate, complete, or suitable for any particular purpose.

6.3 Your responsibility

You are responsible for how you use and act upon AI Advisor outputs. Do not submit confidential third-party information, personally identifiable information about other individuals, or material subject to legal privilege to the AI Advisor unless you have appropriate authority to do so.


7. Enterprise and Team Accounts

7.1 Administrator access

Where you access the Platform under an enterprise or team licence, your organisation's designated administrator may have the ability to manage account access, view usage and progress data, and configure settings on behalf of your organisation. The scope of administrator access is defined in your organisation's licence agreement.

7.2 Organisational obligations

The contracting organisation is responsible for ensuring its authorised users comply with these Terms and for any breach by those users.

7.3 Custom agreements

Enterprise licences may be subject to a separate Master Service Agreement or Order Form that supplements or, where expressly stated, supersedes these Terms. In the event of conflict, the enterprise agreement will prevail.


8. Modifications to the Platform

Naauai reserves the right to:

  • Update, modify, or discontinue any feature or aspect of the Platform at any time
  • Change, add to, or remove content from the Platform's library
  • Introduce new services or tools, which will be subject to these Terms unless separate terms are provided

We will provide reasonable advance notice of changes that materially reduce the functionality available to you under your current plan.


9. Suspension and Termination

9.1 Your right to cancel

You may cancel your subscription at any time from your account settings or by contacting billing@naauai.com. Cancellation takes effect at the end of your current billing period. You will retain access to the Platform until that date.

9.2 Our right to suspend or terminate

We may suspend or terminate your account if:

  • You breach these Terms (including the Acceptable Use provisions)
  • Your payment is overdue after reasonable notice
  • We are required to do so by law or regulatory obligation
  • Continued provision of service creates legal or security risk

Where possible, we will notify you before suspension and provide an opportunity to remedy the issue.

9.3 Effect of termination

On termination, your licence to access the Platform ends immediately. You should export any Notebook content you wish to retain before termination. We will retain your data in accordance with our Privacy Policy and delete it on the schedule set out therein.


10. Disclaimer of Warranties

The Platform is provided "as is" and "as available." To the fullest extent permitted by applicable law, Naauai disclaims all warranties, express or implied, including:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • That the Platform will be uninterrupted, error-free, or free from viruses or harmful components
  • That content on the Platform is accurate, complete, current, or suitable for any particular purpose
  • That AI Advisor outputs are reliable or appropriate for any decision

Nothing in these Terms excludes liability that cannot be excluded under applicable law.


11. Limitation of Liability

To the fullest extent permitted by applicable law, Naauai's total liability to you for any claim arising from or related to these Terms or your use of the Platform will not exceed the greater of:

  • The subscription fees paid by you in the 12 months preceding the claim, or
  • £100 / $100

In no event will Naauai be liable for:

  • Loss of profit, revenue, or anticipated savings
  • Loss of business opportunity or goodwill
  • Business interruption
  • Loss or corruption of data
  • Indirect, incidental, special, punitive, or consequential damages

These limitations apply whether the claim arises in contract, tort (including negligence), or otherwise, and whether or not Naauai has been advised of the possibility of such loss.


12. Indemnification

You agree to indemnify, defend, and hold harmless Naauai and its officers, directors, employees, and agents from and against any claims, losses, liabilities, damages, and costs (including reasonable legal fees) arising from:

  • Your use of the Platform in violation of these Terms
  • Your violation of any applicable law or third-party right
  • Content you submit, create, or share on the Platform

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any dispute arising from these Terms or your use of the Platform will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, except where mandatory consumer protection laws in your jurisdiction provide otherwise.

For users in the European Union or United Kingdom, nothing in these Terms affects your rights under applicable mandatory local consumer protection law.

Before initiating formal proceedings, we encourage you to contact us at legal@naauai.com to seek resolution informally. We will make good-faith efforts to resolve disputes within 30 days of written notice.


14. General

14.1 Entire agreement

These Terms, together with our Privacy Policy, Cookie Policy, and any applicable enterprise agreement, constitute the entire agreement between you and Naauai regarding the Platform.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.

14.3 Waiver

Failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it subsequently.

14.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Naauai may assign its rights and obligations under these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.

14.5 Notices

Notices to you will be sent to the email address associated with your account. Notices to us should be sent to legal@naauai.com.


15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email and by posting a notice on the Platform at least 14 days before the changes take effect. Your continued use of the Platform after that date constitutes acceptance of the revised Terms.
